1. Acceptance of Terms

By accessing or using the Reliobooks Books & Advisory website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services

2.1 Service Description

Reliobooks Books & Advisory provides bookkeeping, tax planning, fractional CFO, payroll, and advisory services to businesses. Our services include but are not limited to:

  • Monthly bookkeeping and financial reconciliation
  • Financial statement preparation (P&L, balance sheet, cash flow)
  • Tax planning and preparation
  • Payroll processing and compliance
  • Fractional CFO advisory
  • Business formation and structuring

2.2 Service Scope

The specific scope of services for each client is defined in the engagement letter or service agreement signed at the time of onboarding. These Terms of Service govern the general relationship; the engagement letter governs the specific services.

3. Client Responsibilities

As a client of Reliobooks Books & Advisory, you agree to:

  • Provide accurate and complete financial records, documents, and information in a timely manner
  • Grant necessary access to accounting software, bank accounts, and financial systems
  • Respond to requests for information within a reasonable timeframe
  • Review and approve financial statements and tax returns before filing
  • Pay all fees according to the agreed-upon payment schedule

4. Pricing and Payment

4.1 Fees

Service fees are as quoted at the time of engagement. All prices are in US dollars and are exclusive of applicable taxes unless otherwise stated.

4.2 Payment Terms

Monthly service fees are billed in advance and due upon receipt. Payment is accepted via ACH transfer, credit card, or other methods as agreed upon.

4.3 Late Payment

Invoices not paid within 15 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance.

4.4 Price Changes

We reserve the right to adjust pricing with 30 days' written notice. Existing clients on monthly plans will be notified before any price changes take effect.

5. Intellectual Property

5.1 Our Content

All content on our website, including text, graphics, logos, images, and software, is the property of Reliobooks Books & Advisory and is protected by copyright and other intellectual property laws.

5.2 Client Data

You retain full ownership of your financial data and business records. We claim no ownership rights over your data. We use your data solely for the purpose of providing our services.

6. Confidentiality

We maintain strict confidentiality regarding all client information, financial data, and business records. This confidentiality is protected by:

  • CPA-client privilege under applicable state and federal law
  • Our professional obligations under the AICPA Code of Professional Conduct
  • The confidentiality provisions in your engagement letter

We will not disclose your information to third parties without your explicit consent, except as required by law.

7. Limitation of Liability

7.1 Professional Standards

Our services are performed in accordance with applicable professional standards, including Generally Accepted Accounting Principles (GAAP) and relevant tax regulations.

7.2 Limitation

To the maximum extent permitted by law, Reliobooks Books & Advisory shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services, including but not limited to loss of profits, data, or business opportunities.

7.3 Maximum Liability

Our total liability for any claim arising out of or related to our services shall not exceed the total fees paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available." While we strive for accuracy and excellence, we do not warrant that our services will be error-free, uninterrupted, or that all tax savings will be achieved. Tax laws and regulations are subject to change, and outcomes depend on individual circumstances.

9. Termination

9.1 By Client

You may terminate our services at any time by providing written notice. Fees for the current billing period are non-refundable.

9.2 By Reliobooks

We may terminate our services with 30 days' written notice if:

  • You fail to pay fees when due
  • You fail to provide necessary information or access
  • The professional relationship is no longer viable
  • We determine that continuing the engagement would violate professional standards

9.3 Effect of Termination

Upon termination, we will return all client records and provide a final accounting of services rendered. We will cooperate with any successor service provider to ensure a smooth transition.

10. Dispute Resolution

Any disputes arising out of or related to these Terms of Service or our services shall be resolved through the following process:

  • Mediation: Good-faith negotiation and mediation
  • Arbitration: If mediation fails, binding arbitration under the rules of the American Arbitration Association
  • Governing Law: These terms are governed by the laws of the state in which Reliobooks Books & Advisory is incorporated

11. Website Use

11.1 Acceptable Use

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the website.

11.2 Prohibited Activities

You agree not to:

  • Attempt to gain unauthorized access to our systems
  • Use automated tools to scrape or collect data from our website
  • Submit false or misleading information through our forms
  • Interfere with the proper functioning of our website

12. Changes to Terms
